An initial invoice will be issued upon execution of the service agreement, and payment is due upon receipt unless otherwise specified in writing.
Recurring invoices will be issued on or around the same date each month, based on the original billing cycle. All invoices are payable within fifteen (15) days of the issue date (Net 15), unless a different payment term has been agreed upon in writing.
If payment is not received by the due date, MD Marketing Experts reserves the right to pause or suspend ongoing marketing activities, campaigns, or deliverables until the outstanding balance is cleared. This may include pausing paid advertising campaigns, halting SEO work, or restricting access to active services.
In cases where services are paused due to non-payment, reactivation of services may require additional time and may be subject to re-initiation or setup fees, depending on the nature of the work involved.
The Client is responsible for ensuring timely payments to avoid disruption of services and any impact on campaign performance. Any third-party costs, including advertising spend or software subscriptions, are separate from service fees and must be paid independently unless otherwise agreed.
Term and Termination
The duration of services will be defined in your agreement.
Termination by Client
You may terminate services by providing written notice, typically 30 days in advance, unless otherwise agreed.
Termination by Company
We reserve the right to terminate services if:
- Payment obligations are not met
- Terms are violated
- The working relationship becomes unproductive or misaligned
Effect of Termination
Upon termination:
- All outstanding payments become due immediately
- Access to ongoing services may be discontinued
- Deliverables completed up to the termination date may be provided, depending on payment status
Intellectual Property
All materials created by MD Marketing Experts, including strategies, designs, content, and frameworks, are considered intellectual property unless otherwise stated.
Ownership
- Final deliverables may be transferred to the client upon full payment
